By accessing, viewing or using this Site, or using any of the many offerings and services that Toil.live provides (the "Services"), You indicate that You understand and intend these Terms and Conditions to be the legal equivalent of a signed, written contract and equally binding and that You accept such Terms and Conditions and agree to be legally bound by them (the “Agreement”). You represent and warrant that You are of sufficient legal age to use this Site and the Services, or agree to supervise minors who use this Site and the Services and that You will be bound to any legal obligations You may incur as a result of using this Site and the Services. Please note that Toil.live reserves the right to change the Terms and Conditions under which this Site and its Services are extended to You. Your continued use of this Site and the Services following such modifications will be conclusively deemed acceptance of any changes to these Terms and Conditions.

Agreements Between Client and Freelancers:

Client and Freelancers can agree to other terms so long as it does not or does not attempt or purport to, regardless of intent, violate, impact, affect, or create any inconsistency with any terms, rights, or obligations under this Agreement or any Other Terms of Use, including without limitation any and all rights of Toil.live as the marketplace provider. In the event any other terms so agreed to by and between Client and any Freelancer violate, impact, affect or create any inconsistency with any terms, rights, or obligations under this Agreement or any Other Terms of Use, this Agreement or any Other Terms of Use shall supersede such other terms. Toil.live is not a party, agent, representative, principal, employer, beneficiary, related entity, joint venturer, or partner with Client or Freelancers and is not a party to any agreements entered into between Client and Freelancers, including without limitation any agreement for Services or otherwise between Client and Freelancers.

Reservation of Rights:

Toil.live and its licensors each own and retain their respective rights in and to all logos, company names, marks, trademarks, copyrights, trade secrets, know-how, patents, and patent applications that are used or embodied in or otherwise related to the Site and Content. Toptal grants no rights or licenses (implied, by estoppel, or otherwise) whatsoever to you under these T&Cs.

Responsibility for Your Data:

You are solely responsible for all data, information and other content, that you upload, post, or otherwise provide or store (hereafter “post(ing)”) in connection with or relating to the Site.

Intellectual Property Rights

Any information or content expressed or made available by a third party or any other Site Visitor or User is that of the respective Client(s) or freelancer(s) and not of Toil.live. Toil.live neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, information, or statement made on the Site by anyone other than Toil.live's authorized agents acting in their official capacities.

Prohibited Site Uses

You may not use, or encourage, promote, facilitate, or instruct, induce, or otherwise influence or cause others: (1) to use the Site or Site Services for any activities that violate any law, statute, ordinance or regulation; for any other illegal or fraudulent purpose or any purpose that is harmful to others, or (2) to transmit, store, display, distribute or otherwise make available content that is illegal, fraudulent or harmful to others.

The examples of uses that are prohibited on the Site or during using the Site Services:

• Seeking, offering, promoting, supporting, or endorsing services, content, or activities that:

• Are defamatory, illegal, violent, profane, vulgar, threatening, unlawfully discriminatory, illegal, pornographic, obscene, or sexually explicit in nature;

• Would violate the intellectual property rights, such as and including copyrights, of another person, entity, service, product, or website.

• Regard the creation, purchase, and/or publication of a review for a third-party website.

• Regard the creation, publication, or distribution of “fake news”, “hoax news”, Deep Fake content, or similar content, which is to be intended to mislead recipients for personal, financial, political, or other gain or advantage.

(For National\International Users) (“Toil”) provides this Privacy Policy to inform you of our policies and procedures regarding the collection, use, and disclosure of information through www.toil.live (the “Site”) and any other websites, features, applications, widgets, or online services that are owned or controlled by Toil.live and that post a link to this Privacy Policy (together with the Site, the “Service” ), as well as any information Toil.live collect offline in connection with the Service. Note that we combine the information we collect from you from the Site, through the Service generally, or offline.

Toil.live collects your information when you register on the Toil.live site and when you visit Toil pages.

Toil.live will not sell or rent any collected information to third parties. Toil.live will not share your contact information with other users or third parties except in connection with possible employment and with your express consent. All registered Toil.live members click the "I AGREE" checkbox on the registration form to agree to the Toil.live Privacy Policy and Terms of Service. Accordingly, all registered users agree that certain profile information is accessible to other registered users.

Toil.live records IP addresses for system administration purposes. This information is used to diagnose server problems, monitor traffic patterns, analyze trends, administer the Website, track member user patterns, and identify the most popular areas of the Website to deliver content most relevant to registered members. IP addresses are not linked to personally identifiable information and are only used to gather broad demographic information for aggregate use, except in the case of fraud.

Toil.live reserves the right to share aggregated demographic information with its partners and/or advertisers, such information will not be linked to personal information that identifies registered users, except in the case of fraud.

WE USE INFORMATION WE COLLECT:

To provide and improve the Service, complete your transactions, address your inquiries, process your registration, verify the information you provide is valid, and for compliance and internal business purposes.

3. DATA RETENTION
